Welsh Automotive Forum Customer Contract & Standard Terms and Conditions of Service​


 

 

1. General These terms and conditions apply to all services provided by the Welsh Automotive Forum ("WAF") to its clients ("the Client"). By accepting a quotation, commissioning work, or making payment on an invoice, the Client agrees to these terms. Any conflicting terms provided by the Client are expressly excluded unless agreed to in writing by WAF.

 

2. Scope of Services WAF provides professional services to support the automotive sector, including (but not limited to) events, networking, industry promotion, business engagement, and representation. WAF will deliver services with care and professionalism but makes no guarantee of specific commercial outcomes.

 

3. Confidentiality WAF treats all client information as confidential and will not disclose such information to third parties without prior consent, unless legally required to do so.

 

4. Anti-Trust and Ethical Compliance WAF fully complies with UK competition law and maintains strict anti-trust protocols. Clients are expected to avoid any conduct during WAF engagements that could be perceived as collusive, anti-competitive, or in breach of legal or ethical standards. WAF reserves the right to exclude any party found in breach of these expectations.

 

5. Payment Terms

Invoices are payable within 30 calendar days of the invoice date, unless otherwise agreed in writing.

WAF recognises that some clients operate under longer procurement cycles and is open to accommodating alternative terms were agreed in advance.

 

6. Late Payment and Resolution WAF understands that delays in payment can occasionally occur and aims to work with clients to resolve such matters constructively. If a payment delay is expected, please advise us as soon as possible.

We will follow up on outstanding payments as needed and will make every reasonable effort to resolve matters through open and professional communication. If an invoice remains unpaid for a prolonged period (typically beyond 90 days from the due date), WAF reserves the right to pause or discontinue services until the matter is resolved.

 

7. Claims Any concerns or claims about service delivery should be submitted in writing to WAF’s registered office within 8 calendar days of the service delivery date. WAF will make every reasonable effort to resolve the issue fairly.

 

8. Termination WAF reserves the right to terminate a service agreement if:

Payment remains outstanding for more than 90 days.

There is a serious breach of confidentiality or ethical standards.

The client violates anti-trust or competition law obligations during WAF events or collaborations.

 

9. Governing Law These terms and conditions shall be governed by and interpreted in accordance with the laws of England and Wales. Both parties agree to submit to the exclusive jurisdiction of the courts of England and Wales.
